Mon Système Fourrager Inc. MSF ", " we ", " our ("we", "us", "our"), headquartered at 7-2244 rue De Chambly, Montreal, Quebec H1W 3J5, welcomes you to its website www.msfourrager.com and its mobile application "Mon Carnet Fourrager" (together the " Website "). The Site is intended for Canadian producers and agronomists, in their capacity as professionals, wishing to optimize and add value to their forage systems (" you ", " your ", " your "or " user ").

We invite you to read all of the following terms and conditions carefully before proceeding, since your access to and use of the Site and Services (as defined below) is subject to these Terms of Use, depending in particular on whether you are an agricultural producer and wish to take advantage of the Site's services to manage your farms with agronomic collaborators (a " Producer ") or whether you are an agronomist, duly registered with the Ordre des agronomes du Québec (OAQ), or from another Canadian province or territory, as the case may be, wishing to assist a Producer whose farm(s) are registered on the Site (a " Agronomist ").

1. Acceptance of Terms of Use

These Terms of Use are between you and MSF and govern your access to and use of the Site and all content, information, products and services available on or through the Site.

Each time you use the Site, you represent and warrant that you agree to be bound by the then-current version of these Terms of Use and represent and warrant that you are legally authorized to accept these Terms of Use on behalf of yourself and any person you purport to represent.

Finally, to use the Site, its various functionalities and the Services, you must reside in Canada and be at least 18 years of age or have the authorization of a parent or guardian.

2. Site content

MSF, through the Site, allows users to access content relating to agronomic data, including, but not limited to, data on fields, land, equipment, climate, finances and farm management (the " Contents "). The Content consists of :

content accessible publicly and free of charge on the website (the " Content Public "and
subject to free account opening, reserved content provided under the Free Plan or the paid-for Pro Plan (together, the " Subscriber Content ").
The nature and quantity of the Content will vary depending on whether it is publicly accessible or accessible through the Free Plan or Pro Plan.

DISCLAIMER. Certain Content posted on the Site, such as articles or other documents, express the views of their respective authors, which may not be the views of MSF, its shareholders, affiliates, directors, officers, employees, representatives or partners. The Content is made available for informational purposes only and does not and shall not constitute advice or recommendations that may engage MSF's liability in any way, such as with respect to information generated in connection with the Services, including for the "NIR Analysis Interpretation Module" which is provided for informational purposes only and not as a recommendation. You are solely responsible for ensuring that the Content and its use are acceptable to you and for deciding whether or not to use it. MSF makes no representations or warranties with respect to the Content and its use as set forth in Section 13.

3. Description of Services

To use the Services, you must have Internet access and open a Producer Account or an Agronomist Account on the Site, as indicated in articles 4 and 5 below. MSF offers you various services through its "Free Plan" and "Pro Plan", thanks to two modules: the "Field Management" module, the "Economic Value of Food" module and the "Interpretation of NIR analyses" module (the " Modules "who will assist you in managing your farms (the " Services ").

1.1 Champa management module
This module can help you :

Collect data on field management, including seeding, application of lime, manure, chemical fertilizer and harvesting of cuttings.
Collect field observations such as botanical composition, plant maturity and insect detection.
Data visualization in dashboards.

1.2 Food economic value module
This module can help you :

quickly find a better price for your single ingredients in your region, as well as the median price for a given ingredient over the last fifteen (15) days; and/or
contribute to the Site and share with the MSF community information regarding the purchase of these ingredients, while accumulating Credits (as defined in article 4.1 below). Where applicable, you freely accept and choose to share such information, which then becomes an integral part of Subscriber Content, as set forth in Article 7 hereof.

1.3 NIR analysis interpretation module
This Module can help to simplify the interpretation of NIR silage analyses and to obtain advanced and useful information on the composition and quality of your silage, with the aim of participating in the improvement of your silage, by entering NIR analysis information in this Module, and/or by uploading your NIR silage analysis reports or photos to the Site. Where applicable, you freely accept and choose to share this information, which then becomes an integral part of the Subscriber Content, as indicated in Article 7 hereof.

1.4 Modification of Services
MSF may modify these Terms of Use and the features of the Services at any time. In the event of a modification to the Terms of Use, including, but not limited to, the accessibility of the Services and their pricing described in sections 5 and 6, MSF will send you a notice to this effect to the e-mail address indicated in your account at least thirty (30) days before the modification takes effect, informing you of the upcoming changes, their effective date, as well as your right to refuse this modification and to terminate, if applicable, without charge, penalty or indemnity your adherence to the Terms of Use, including your subscription to the Services, by sending MSF a notice to this effect no later than thirty (30) days following the effective date of the modification, if this modification results in an increase in your obligations or a reduction in MSF's obligations.

4. Accounts

To access and use the Services, you must create an account on the Site and select the type of account that applies to you, depending on whether you are a Producer (" Producer account "or an Agronomist (" Agronomy account "). Opening an account is free. By opening an account we grant you a limited, non-exclusive and non-transferable right to access Subscriber Content. Except for the foregoing, no other right, title or interest is granted to you with respect to Subscribed Content and you agree to use the Services and the Site in accordance with these Terms of Use and any other agreement between MSF and you regarding the Site or Services. This means in particular that you are prohibited from reproducing the Subscribed Content in whole or in part for any purpose other than (i) if you are a Producer, the management of your farms, or (ii) if you are an Agronomist, the management of the farms of your collaborator Producer subscribers.

1.1 Producer account
Once you have entered your farm information, opening a Producer Account gives you access to the Free Plan. You can update this information at any time, and you can also choose to switch to the Pro Plan by clicking on your profile, subject to the applicable Pro Plan rate, as described in article 5.2 hereof.
Your Producer Account is personal to you and can only be used to manage the farms you manage as a Producer. It may not be shared with anyone not connected with the management of your farms, including your Agronomist colleagues, who must open their own Agronomist Account.

The Agronomists are independent and are not associated with the Sites or MSF. MSF is not responsible for the services offered by the Agronomists. You are free, if you wish, to add Agronomist collaborators to your Producer Account by accepting their Collaboration Request, as defined in article 6, which will be sent to you via their Agronomist Account. In this case, you will be solely responsible for any fees charged by your Agronomist in connection with your collaboration on the Site.

You are also responsible for any activity occurring on and/or through your Producer Account, including by your Agronomist. To help maintain control of your Producer Account and prevent unauthorized users from accessing it, you must maintain control of the devices used to access the Site and not disclose to anyone the identifier and password associated with your Producer Account.

You agree to provide and maintain accurate information about your account, including providing a valid email address when you open your Grower Account so that we can send you notifications related to your account, such as, but not limited to, payment authorizations, invoices, notifications about your password or payment method, confirmation messages, and, if applicable, notifications from your Agronomist. Notifications related to the Services and your account are made electronically only.

1.2 Agronomy account
Opening an Agronomist Account gives you access to the Services for Producers who have accepted your Collaboration Request, as defined in article 6 above.
Your Agronomist Account is personal to you and can only be used to manage the farms of Producers who subscribe to the Services and who are your collaborators and who have accepted a Collaboration Request from you. It is forbidden to share your Agronomist Account with anyone else.
You are responsible for all activity that occurs through your Agronomist Account. To help maintain control of your Agronomist Account and prevent unauthorized access, you must maintain control of the devices used to access the Site and not disclose to anyone the identifier and password associated with your Agronomist Account.

You agree to provide and maintain accurate account information, including providing a valid email address when opening your Agronomist Account so that we can send you notifications related to your account and, among other things, your passwords and Collaboration Request. Notifications related to the Services and your account are sent electronically only.

1.3 Account deletion
As a Grower or Agronomist, you can delete your account at any time by clicking on "unsubscribe".

The deletion of a Grower Account or an Agronomist Account will result in your deregistration from the Site and you will no longer have access to the Services, Subscriber Content or data previously registered in your account. In addition, the deletion of a Producer Account terminates access to this account for the Agronomist linked to the Producer Account, if applicable.

A confirmation of account deletion will be sent to the e-mail address indicated in your account.

5. Accessibility to Services by Producers

To access and use the Services, you must have created a Producer Account and subscribed to the Free Plan or Pro Plan. Specific details of the Services to which you have subscribed can be found at any time in the "My Subscription" section of your Producer Account.

5.1 Free Plan
The Free Plan is a free subscription to the Services, allowing Producers to access the Services and Subscribed Content on a limited basis, depending on the available Credits, as defined below, or the number of analysis treatments included in the Free Plan. Certain features of the Services are reserved for the Pro Plan.

Credits. Credits" are units which, once used, enable you to unlock certain results from Subscriber Content initially reserved for the Pro Plan. Under the Free Plan, when you open your Producer Account, you are offered a number of Credits. You can obtain additional Credits by contributing and entering information in the Economic Value of Foods Module. Credits have no monetary value, cannot be exchanged and have an unlimited lifetime.
Subscription duration. By choosing the Free Plan, you subscribe to the Services free of charge for an unlimited period.
Termination and effect of termination. You can cancel your subscription to the Free Plan at any time. Termination is automatic when you decide to leave the Free Plan and subscribe to the Pro Plan, by clicking on "Switch to Pro Plan". Confirmation of your subscription to the Pro Plan will be sent to the e-mail address you provided when you opened your Producer Account.

5.2 Plan Pro
The Pro Plan is a paid subscription giving unlimited access to the Services and Subscriber Content, and enabling you to add Agronomist collaborators, in order to share data relating to the farms you manage as a Producer.

5.2.1 Monthly subscription to Plan Pro

Duration and Renewal. By choosing a monthly subscription, you commit yourself for one month from your subscription date, automatically renewable each month, subject to cancellation before your next billing date.
Prices, payment terms and invoicing. Monthly subscription for a fixed fee of 300$ CAN + taxes per year, If payment of your subscription/invoice fails due to the expiration of your payment method, insufficient balance or for any other reason, and you do not terminate your account, we will suspend your access to the Services until you remedy the payment default. MSF will not be responsible or liable for any amounts that a payment provider may charge you, such as fees relating to the processing of your payment method.
Termination and effect of termination. You may cancel your monthly subscription at any time prior to the next billing period of your subscription. By cancelling your subscription, you will continue to have access to the Services until the end of your current billing period. To the extent permitted by applicable law, payments are non-refundable and we will not issue refunds or credits for periods of partial use, or for any unused Services.Once termination is effective, i.e. at the end of your initial billing period, you will still have access to your Producer Account, but you will no longer have access to the Subscriber Content and Producer data stored in your Producer Account, subject to the application of the Privacy Policy accessible here.

5.2.2. Annual subscription to Plan Pro

Duration and renewal. By choosing an annual subscription, you commit yourself for a minimum period of one (1) year from your subscription date, automatically renewable for an unlimited period, at the price then in effect for a monthly subscription, each month, subject to your cancellation.
Prices, payment terms and invoicing. Annual subscription for a fixed fee of 300$ + taxes for one year If payment of your subscription/invoice fails due to the expiration of your payment method, insufficient balance or for any other reason, and you do not terminate your account, we will suspend your access to the Services until you remedy the payment default. MSF will not be responsible or liable for any amounts that a payment provider may charge you, such as fees relating to the processing of your payment method.
Termination and effect of termination. You can cancel your annual subscription to Plan Pro at any time before your subscription renewal date.
By terminating your subscription, these Terms of Use will continue to apply and you will continue to have access to the Services until the end of your current billing period. A confirmation of termination will be sent to the email address indicated in your account. To the extent permitted by applicable law, payments are non-refundable and we will not issue refunds or credits for partial usage periods, or for any unused Services. Once termination is effective, i.e. at the end of your initial billing period, you will still have access to your Producer Account, but you will no longer have access to the Subscriber Content and Producer data stored in your account. A confirmation of termination will be sent to the e-mail address indicated in your account.

6. Accessibility to Services for Agronomists

To access the Services and use them to collaborate with Producers you must have created an Agronomist Account. The Services are available free of charge to Agronomists using an Agronomist Account.

To be able to use the Services and assist your Producer collaborators, you must send a collaboration request via your Agronomist Account for the management of a Producer's farm (a " Collaboration request "The Producer may or may not already be registered on the Site, subject to the Producer's subsequent registration on the Site and acceptance of the Collaboration Request. Once the Collaboration Request has been accepted, you will be able to access the data of the Producer concerned and enter new data in the Producer's account.

You can always find the specific details of the producers' farms you manage in the "Farm management" section of your account.

7. Ownership and intellectual property rights

You acknowledge that the Content, including any material, information in text, graphic, audio and video form, image, report, article, publication, data, database, table, graph, photograph, illustration, map, interface, web page, text, file, software, product name, company name, trademark, logo and trade name displayed on the Site, including the manner in which the Content is presented or appears and all related information is protected by Canadian and international copyright, trademark and other intellectual property laws, and is the exclusive property of MSF, its partners, licensors, co-contractors or any other person who has authorized MSF to use such information.

No property right or other implicit right is conferred on you on the Contents obtained via the Site. You are therefore prohibited from reproducing all or part of the Content, whether for personal, professional or commercial purposes, except (i) if you are a Producer, for the management of your own farms, or (ii) if you are an Agronomist, for the management of the farms of your subscriber Producer clients. The posting of Content on the Site does not constitute a waiver of any right with respect to the Content.

"Mon Système Fourrager", "Mon Carnet Fourrager" and other marks and logos appearing on the Site from time to time are registered or unregistered trademarks and trade names owned by MSF, its partners or third parties. Other product and company names and logos displayed on the Site may be trade names or registered or unregistered trademarks of their respective owners. It is strictly forbidden to use in any way whatsoever the trade names, trademarks and logos (collectively, the "Trademarks") displayed on the Site. Brands ") displayed on the Site. Nothing contained on the Site or elsewhere shall be construed as granting, directly or indirectly, by implication, estoppel, or otherwise, any license or right to use any Marks displayed on the Site.

The present article is not intended to apply to data that you yourself, as a Grower or Agronomist, have entered or uploaded to the Site as a result of your use of the Services (the "Data"). Excluded data "). To the extent permitted by applicable law, for such Excluded Data that forms an integral part of the Subscribed Content, you hereby grant MSF an unlimited, irrevocable, perpetual, royalty-free license to use the Excluded Data in any manner to assist MSF in populating and improving the Subscribed Content.

8. Authorized uses of the Site and Content

MSF hereby grants you a personal, limited, revocable, non-transferable, non-assignable and non-exclusive license to access the Content and, with respect to the Subscribed Content, (i) solely for the purpose of managing your farms if you are a Grower or (ii) for the purpose of managing the farms of your Subscribed Grower customers if you are an Agronomist, all in accordance with the Site's objectives, the Terms of Use and applicable laws. You may print Content or transmit by e-mail listings of Content provided that you do so within the scope authorized in this section for Subscriber Content, and that you do not modify such Content or remove or alter any visible or non-visible identification, marks, notices or limitations of liability.

Except as specifically described above, the Site and its Content may not be copied, imitated, reproduced, republished, uploaded, posted, transmitted, modified, indexed, catalogued, merged with any data, mirrored or distributed in any way, in whole or in part, without the express prior written consent of MSF.

9. Unauthorized use of the Site and Content

Without limiting the foregoing, you agree not to, and will not permit any person to, directly or indirectly :

reproduce, modify or remove any copyright or other proprietary notices from the Content or any copy of the Content;
sell, modify or attempt to modify by any means the Content, or reproduce or publicly display, perform or distribute any Content or otherwise use any Content for any public, commercial or non-personal purpose, including, without limitation, use of the Content on any other website;
use the Site, including its Content, in any manner that could damage, disable, overburden, impair, interfere with the security of, negatively impact the functioning of, or otherwise impair the Site or its Content, system resource, account, server, network, linked or affiliated site, connected to or accessible through the Site;
interrupt or interfere in any way with any person's use of the Site, the Services or any web site linked to or affiliated with the Site, or any services thereof;
use any software used in connection with the operation of the Site, except for use in accordance with these Terms of Use;

For greater certainty, framing, mirroring, scraping (including, without limiting the scope of the foregoing, "screen scraping", "data scraping" and any other activity, whether automated or not, intended, directly or indirectly, to collect, store, copy, reproduce, reorganize or manipulate the Content) or data-mining of the Site or any portion of its Content in any form or by any method whatsoever is strictly prohibited and constitutes a violation of copyright and these Terms of Use.

In addition, you agree and accept that you are fully responsible for each of your actions and communications taken or transmitted in connection with the use of the Site and that you will comply with any legislation that applies, or may apply, to the use of or activities on the Site or to the Content. MSF may investigate any occurrences that may lead to violations of such laws and the Terms of Use and may notify or cooperate with law enforcement authorities in prosecuting users who are involved in such violations. Such investigation and/or cooperation shall not be construed as a violation of these Terms of Use.

10. Unsubscribe

You may unsubscribe from the Site at any time, in which case you will no longer have access to the Services or Content, nor to the data stored in your Grower Account or Agronomist Account, as applicable, subject to the application of the Privacy Policy accessible here. Confirmation of your unsubscription will be sent to the e-mail address you provided when you opened your Producer Account.

11. Privacy and Canada's Anti-Spam Legislation

MSF collects, uses and discloses your personal information, and sends commercial electronic messages, all in accordance with Canada's Anti-Spam Act and the Site's Privacy Policy, which is available here, and which you acknowledge and consent to in connection with your use of the Site and any services.

12. Other websites

The Site may include links to other websites or applications operated by third parties over whom MSF exercises no control. MSF assumes no responsibility for the content of any such linked sites or applications. These links and applications are provided by MSF for informational purposes only. When you access such sites or applications, you do so at your own risk and are responsible for compliance with the terms, conditions and policies of use of such third-party sites and/or applications. You are solely responsible for ensuring that such terms, conditions and policies are acceptable to you and for complying with them. You understand and agree that MSF is in no way responsible for activities conducted on such third party sites and applications and for damages that may be caused thereby. MSF makes no representations or warranties, and does not endorse any linked third-party site or application, nor any information or goods or services appearing, available or described on any linked third-party site or application.

13. Exclusion and limitation of liability

MSF uses reasonable efforts to ensure that the General Content provided on the Site is accurate and reliable, but provides the Content for informational purposes only. HOWEVER, MSF, ITS SHAREHOLDERS, AFFILIATES, AGENTS, LICENSORS, SERVICE PROVIDERS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, OR EMPLOYEES MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE CONTENT OR SERVICES AVAILABLE THROUGH THE SITE. MSF HAS NO OBLIGATION TO UPDATE THE CONTENT OF THE SITE AND DOES NOT WARRANT THE COMPLETENESS, ACCURACY OR RELIABILITY OF ANY INFORMATION THAT MAY BE FOUND ON THE SITE AND SHALL NOT BE LIABLE FOR ANY CONTENT THAT YOU MAY FIND UNDESIRABLE OR OBJECTIONABLE. MSF MAKES NO WARRANTY AS TO THE AVAILABILITY OF THE CONTENT OR THE SITE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE CONTENT AND SITE ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND.

MSF, ITS SHAREHOLDERS, AFFILIATES, AGENTS, LICENSORS, SERVICE PROVIDERS AND THEIR RESPECTIVE DIRECTORS, OFFICERS OR EMPLOYEES SHALL NOT BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL, EXEMPLARY OR INCIDENTAL, INCLUDING WITHOUT LIMITATION ANY LOSS OF USE, REVENUE, PROFIT OR ANY OTHER ECONOMIC LOSS, ARISING OUT OF THESE TERMS OF USE, YOUR USE OF THE SITE OR THE CONTENT OR ARISING OUT OF THEIR UNAVAILABILITY AT ANY TIME, OR RESULTING FROM ANY VIRUS, CORRUPTED DATA, MISSED MESSAGES, ERRORS OR TRANSMISSION PROBLEMS, LINKS TO THIRD-PARTY WEBSITES OR APPLICATIONS, THIRD-PARTY PRODUCTS OR SERVICES, USE OF OR INABILITY TO USE THE SITE OR CONTENT UNDER ANY THEORY OF LIABILITY (WHETHER CONTRACTUAL OR EXTRA-CONTRACTUAL, TORT, STRICT LIABILITY OR ANY OTHER THEORY AT LAW OR IN EQUITY), NOTWITHSTANDING ANY NEGLIGENCE OR OTHER WRONGDOING OR FUNDAMENTAL BREACH BY MSF OR ANY OTHER PERSON FOR WHOM MSF IS LIABLE AND NOTWITHSTANDING THAT MSF OR ANY OF ITS LEGALLY AUTHORIZED AGENTS OR EMPLOYEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS.

14. Compensation

You agree at all times to indemnify, defend and hold harmless MSF, its shareholders, affiliates, agents, licensors and suppliers and their respective directors, officers, or employees (collectively, the "Indemnified Parties") from and against any and all actions, proceedings, costs, any claims, damages, demands, liabilities and expenses whatsoever (including, without limitation, reasonable attorneys' fees and legal fees) suffered, incurred or paid by the Indemnified Parties directly or indirectly in connection with your use of the Site and the Content in violation of these Terms of Use. You agree to assist and cooperate as reasonably required with the Indemnified Parties in the defense of any such claim or demand.

15. Interruption of access to the Site

MSF reserves the right, in its sole discretion, to terminate, restrict or suspend access to all or any part of the Site, including the Services and any Content, without notice and without liability to you, for any reason whatsoever, including for breach of these Terms of Use or if MSF determines, in its sole discretion, that there is a reasonable possibility that you have violated these Terms of Use, including through illegal or illegitimate use of the Site, including the Services and Content. Without limiting the foregoing, MSF may: (i) change the availability of the Site, restrict access to the Site or impose limits on any and all Services or features of the Site or links to the Site; and/or (ii) remove, add, modify or otherwise change any Content or Services on the Site, as more fully described in Section 18 below.

16. Termination of the Terms of Use

If either you or MSF terminates these Terms of Use, or if MSF withdraws your permission to use the Site, for any reason, then these Terms of Use will nevertheless continue to apply and be binding upon you in respect of your prior use of the Site and Services, and any related matters.

17. Applicable law and settlement of disputes

The Site is controlled, operated and administered by MSF. These Terms of Use are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec and shall be treated in all respects as a Quebec contract and exclude any rules of private international law or conflict of laws which would result in the application of other laws.

To the extent permitted by applicable law, you agree that the courts of Quebec shall have exclusive jurisdiction to hear and settle any dispute relating, directly or indirectly, to the Site, including the Content, and the Services or relating to any dispute concerning the Terms of Use, including their application, performance or interpretation.

In the event of a breach of these Terms of Use, MSF reserves the right to take any action or measures against you that it deems necessary to remedy its damages, including terminating your access to the Site, including the Content and Services, in accordance with these Terms of Use.

18. Miscellaneous

Error or omission. MSF reserves the right, at its sole discretion, to correct any errors or omissions in any portion of the Site, including the Content, at any time and without notice, notwithstanding MSF's lack of obligation to do so.

No waiver. MSF's failure to exercise any of its rights under these Terms of Use shall not be construed, regardless of the duration, extent or frequency of such forbearance, as a waiver or relinquishment of its right to subsequently enforce, at any time, any of the terms and conditions of these Terms of Use or as a waiver of any right or privilege it may have thereunder.

Divisibility. In the event that any provision of these Terms of Use is found by a court or tribunal of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be construed so as to effect the intent of the parties, and the remaining provisions hereof shall remain in full force and effect.

Modifications. MSF may at any time, and from time to time, revise and modify these Terms of Use as they relate to your future use of the Site or add new provisions, but except with respect to the Services, for any reason, by updating this posting on the Site without any prior notice or liability to you or any other person, to the extent permitted by applicable law. Any modification of the Terms of Use in connection with the Services is governed exclusively by article 3 of these Terms of Use. All users of the Site are bound by these Terms of Use and the various policies posted on the Site and should therefore consult them periodically to review any changes before using the Site. If you do not agree to any of the Terms or modifications, you must immediately cease using the Site. If you access or use the Site, including the Content and Services after any changes are posted, you will be deemed to have agreed to the amended Terms of Use. You may not modify these Terms of Use in any way. If the change to these Terms of Use is material, we will highlight it.

Assignment. MSF may assign its rights and obligations under these Terms of Use to a third party without your prior consent. However, you may not assign your rights and obligations under this Agreement to any third party without MSF's prior written consent.

Others. The provisions of these Terms of Use are for the benefit of MSF and its successors and assigns and for the benefit of you and your heirs, executors, administrators, successors, permitted assigns and personal representatives, and shall be binding upon each such person. All rights not expressly granted in these Terms of Use are reserved to MSF.
